1. Acceptance of Terms

These Terms & Conditions ("Terms") constitute a legally binding agreement between you or your healthcare organization ("Client", "User") and IT Health Center ("Company", "we", "us"). By accessing our website, engaging our managed IT services, using our technical support portal (support.ithealthcenter.com), or ordering hardware solutions, you agree to be bound by these Terms.

2. Scope of Healthcare IT Services

IT Health Center delivers specialized technology solutions for healthcare facilities, including:

  • Managed Backup & Disaster Recovery: Cloud replication, snapshot retention, and automated recovery testing.
  • Proactive Managed IT Support: 24/7 infrastructure monitoring, patch management, remote helpdesk, and on-site assistance.
  • Hardware Procurement & Setup: Sourcing, pre-imaging, and deploying clinician workstations, tablets, and network infrastructure.
  • Endpoint Protection & Cloud Security: Next-gen EDR, email encryption, BAA configurations, and staff cyber training.
  • Healthcare Workflow & AI Automations: EMR/EHR system tuning, intake routing, and electronic documentation pipelines.

3. HIPAA Compliance & Business Associate Responsibilities

Both parties agree to comply with applicable federal and state health data privacy laws, including the Health Insurance Portability and Accountability Act of 1996 (HIPAA) and the HITECH Act. Where IT Health Center handles electronic Protected Health Information (ePHI) on behalf of a covered entity, the relationship will be governed by a separate, mutually executed Business Associate Agreement (BAA).

4. Client Responsibilities & Acceptable Use

Clients and authorized users agree to:

  1. Maintain the confidentiality of helpdesk portal login credentials and Multi-Factor Authentication (MFA) devices.
  2. Notify IT Health Center immediately upon discovery of any suspected credential breach, unauthorized system access, or lost clinical device.
  3. Ensure that all software licenses utilized on client endpoints are legally acquired and up-to-date.
  4. Refrain from attempting to bypass administrative security controls, reverse-engineer proprietary automations, or introduce unauthorized network equipment.

5. Support Service Level Agreements (SLAs)

Support tickets submitted via support.ithealthcenter.com or phone are prioritized based on clinical severity. Standard helpdesk hours are Monday through Thursday, 8:00 AM – 8:00 PM CST, and Friday, 8:00 AM – 4:00 PM CST. Contracted active clients receive 24/7 emergency after-hours on-call coverage for critical server, EHR, or network outages.

6. Intellectual Property & Work Product

All custom scripts, visual editor engines, documentation templates, and proprietary workflows developed by IT Health Center remain the intellectual property of IT Health Center, licensed to the client solely for the duration of the active service contract.

7. Limitation of Liability

To the maximum extent permitted by applicable law, IT Health Center shall not be liable for any indirect, incidental, special, or consequential damages resulting from cyber threats, third-party software outages, power failures, or telecommunications disruptions beyond our reasonable control.

8. Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of Missouri, without regard to its conflict of law principles. Any legal action arising from these Terms shall be instituted exclusively in the state or federal courts located in the City of St. Louis, Missouri.
